I think it's a toss-up. Maynard is bigger, with better wrestling, but lacks any real striking or submission skills. Sherk has better striking, and has vast amounts of experience in doing just enough to win on points.

I think Sherk wins a split, unless Gray shows us something we haven't seen from him. I predict North American fans start booing 90 seconds into the bout.
